Acceptance of Terms
By accessing our website or using our services, you agree to be bound by these Terms of Service, our Privacy Policy, our Hosting Data Processing Addendum, our Maintenance Policy, our Acceptable Use Policy, and our Infrastructure Ownership & Continuity Agreement. If you do not agree to these terms, please do not use our services.
Services Provided
Ziteox provides web development, business systems, automation, AI integration, maintenance, hosting, and related support services as described in our Maintenance Policy. Services include:
- Custom website and web application development (hand-coded)
- Business systems, chatbots, automations, and AI integrations
- Website hosting and maintenance
- Technical support and updates
- Migration and consulting services
Clients using managed hosting services are subject to the Hosting Data Processing Addendum and Acceptable Use Policy.
Asset ownership, backups, and business continuity are governed by our Infrastructure Ownership & Continuity Agreement. Third-party providers we rely on are listed on our Subprocessors page.
Client Responsibilities
Project Cooperation
Clients must:
- Provide timely feedback and approvals
- Supply necessary content, materials, and access credentials
- Respond to communications within reasonable timeframes
- Ensure all provided content is legally compliant and properly licensed
Delays and Timeline
Project delays caused by client inaction, late feedback, or failure to provide required materials are not Ziteox's responsibility and may result in timeline adjustments.
Payment Terms
Currency and Pricing
- All payments are in USD unless otherwise agreed in writing
- Pricing is as specified in project agreements or our current rate schedule
- Rates may vary based on project complexity and requirements
Payment Schedule
- Payment terms are detailed in individual project agreements
- Hosting fees are billed monthly in advance
- Maintenance and additional work are billed hourly as specified
Late Payments
- Non-payment may result in suspension of services
- Late fees may apply to overdue accounts
- We reserve the right to terminate services for non-payment
Refund Policy
General Policy
- All sales are final once work has commenced
- Refunds are only considered for projects that have not yet started
- Partial refunds may be granted at Ziteox's sole discretion
- Nothing in this policy limits any non-waivable statutory rights you may have under applicable consumer protection laws
Advance Fees
- Advance fees paid to initiate projects are non-refundable
- These fees are used to arrange resources, schedule work, and prepare project infrastructure
- Advance fees are applied toward the total project cost
Refund Process
- Refund requests must be submitted in writing
- Processing time is typically 5-10 business days
- Refunds are issued via the original payment method
Non-Refundable Items
- Advance fees and project initiation costs
- Completed work and deliverables
- Third-party costs (domains, licenses, hosting setup)
- Time spent on project planning and consultation
Intellectual Property
Client Ownership
Upon full payment, clients receive ownership of:
- Final website files and source code
- Custom graphics and content created specifically for the project
- Access credentials and administrative rights
Ziteox Rights
We retain the right to:
- Showcase non-confidential work in our portfolio
- Use general techniques and knowledge gained from projects
- Reference client relationships (unless confidentiality is agreed)
Third-Party Assets
Clients are responsible for ensuring proper licensing of any third-party content, images, or software used in their projects.
Service Limitations
Availability
- We use modern, reliable infrastructure and target high availability, but uptime cannot be guaranteed due to factors outside our control such as third-party provider outages, network issues, or force majeure events (see our Infrastructure Ownership & Continuity Agreement)
- Scheduled maintenance will be communicated in advance
- Emergency maintenance may occur without notice
Support Scope
- Support is limited to services we provide and maintain
- Third-party integrations and external services are supported on a best-effort basis
- Training and extensive consultation may incur additional charges
Limitation of Liability
Liability Cap
Our total liability for any claim is limited to the amount paid for the specific service in question.
Excluded Damages
We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages caused by third-party services or client actions
- Issues arising from client-provided content or materials
Termination
By Client
Clients may terminate services with written notice. Refunds are subject to our refund policy.
By Ziteox
We may terminate services for:
- Non-payment or breach of terms
- Abusive or inappropriate behavior
- Illegal or harmful use of our services
Dispute Resolution
Informal Resolution
We encourage clients to contact us directly to resolve any issues before pursuing formal action.
Governing Law
These terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes will be resolved in the courts of Sri Lanka, unless otherwise agreed in a separate written contract.
Changes to Terms
We may update these Terms of Service from time to time. Material changes will be communicated via email or website notice and take effect 14 days after notice unless a shorter period is required by law. Continued use of our services after that period constitutes acceptance of the updated terms.
